Terms and Conditions

1. Unless agreed otherwise, all domain registrations will be completed in the name of the client’s business or on ‘behalf of’.
2. Any purchased domains will be billed to you at the standard rate at the time, typically for 1 to 2 years per registration or renewal.
3. Koss UK does not charge any fees for transferring existing .co.uk domains from other companies or servers and will therefore transfer existing domain(s) to our servers at no cost. Top Level Domains (.com etc) do incur a small charge to transfer, details available and confirmed at the time.
4. Should a third party charge an administration fee for any transfer, this cost will be billed to you.
5. Unless agreed otherwise, in the event of transferring any of your domains from our servers there may be a small administration charge depending on the circumstances and complexities of the transfer.
6. All domain registration requests must be completed in writing either via our online form or by email.
7. Any domain that was registered incorrectly that requires registration details updating or transferring after 90 days have elapsed from the registration date will incur a charge determined at the time.
8. All domain related charges imposed by registration authorities will be past on to the registrant.
9. Koss UK will not be held responsible for errors made in any domain registration if more than 90 days have elapsed from the date of registration. Nor will Koss UK be held responsible for any errors duplicated from instructions provided by you or your authorised representative.
10. Koss UK will not be held liable or responsible in any way for delays in registering, moving or transferring a domain to or from our servers as there are many processes involved and Koss UK can only be directly responsible for some of these processes.
11. Koss UK will not dispute any domain transfers providing all outstanding invoices are paid to date and no copyright issues exist.
12. All domains owned by Koss UK will remain so unless a full and final fee has been agreed.
13. Any content on domains owned by Koss UK that was created for the purposes of exclusively promoting your business will be removed from such domains at the time that the current agreement is terminated.
14. On termination of the current agreement Koss UK reserves the right to reuse the domains, sub-domains, website sections and content that was created by Koss UK and is owned entirely by Koss UK, to promote an alternate business in your industry.
15. All domain registrations are controlled by Nominet UK or Network Solutions and/or other third parties and Koss UK abides by the terms and conditions as published by those suppliers.

1. The style and theme of the web site will be based on any existing promotional material you provide and will duplicate colours and images where applicable, unless specifically instructed otherwise.
2. Once drafted, an initial site draft showing the theme and layout will be made viewable enabling you and/or your staff to approve/disapprove of the colours, the layout etc.
3. Web site updates are completed based on the detailed brief or any future written suggestions.
4. All update requests must be sent to Koss UK in writing by email.
5. All images used on a web site should be provided to Koss UK royalty free as we cannot be held liable for any copyright infringement if images are provided as a result of them being found on other web sites or printed materials that are not owned by our client or ourselves.
6. All transactions performed on an e-commerce enabled web site are your company's responsibility and Koss UK cannot be liable for any sales that are not fulfilled in any way.
7. Koss UK cannot be held responsible or liable in any way for errors made in text, offers or prices that are published on your web site unless it is clear that an error has been made in transferring the information.

1. You will be entitled to as many changes as is deemed necessary to ensure that you are 100% happy with the look of your content.
2. These changes can be related to any aspect of the design, template, navigation, copy, key words or titles.
3. Koss UK will advise you about any potential negative implications of such changes if necessary.
4. In order to fulfil all your objectives, the Guarantee obligates Koss UK to ensure that your website: Loads quickly (Koss UK can only be responsible for server speeds if we, in fact, provide hosting services), Presents your company effectively, Is designed according to the initial brief or verbal instructions, Follows a user and search engine friendly structure, Incorporates all the content provided, Is accessible to all browsers and screen-readers

1. Due to the guidelines of Google, Koss UK cannot make any guarantees to where your web site will be positioned in the top search engine results.
2. All keyword suggestions must be sent to Koss UK in writing by email to ensure accuracy and avoid mis-spellings and misinterpretation.
3. Koss UK will implement your chosen key words and phrases following current search engine guidelines in order to gain higher positioning.
4. Koss UK will amend your website SEO characteristics as and when required by changes to the workings of Google (etc.,) as and when they occur.
5. The inclusion of any micro-sites may take from a few weeks to months before being fully indexed if they are hosted on a brand new domain.
6. The final choice of key words and phrases is yours however Koss UK will make recommendations.
7. Key words and phrases can be changed or added at any time within the website but the changes may take several weeks to replace those indexed by the search engines.
8. Any new content may take several weeks to become indexed and ranked in Google (etc.,).
9. Koss UK will continue to monitor your rankings and the performance of all your chosen keywords and phrases to constantly compete for (or keep) top positions.
10. Koss UK will use regular Competitor Analysis to instantly assess the updates your competitor has done should their (or your) rankings change, and reciprocate with updates on your behalf.
11. Any Pay Per Click campaign is funded by yourself. Koss UK will assist in the keyword analysis and the wording of your sponsored listing.
12. All PPC campaigns are monitored closely and it is our responsibility to inform you when higher click bids are required and any chances to daily or monthly budget requirements.
13. All costs associated with paid links will be passed on to you. Any paid links that we feel would be beneficial to your website will be suggested to you via email before we buy them and your confirmation or rejection will be required by email.

Local Exclusivity: In order to ensure exclusive services, Koss UK will not provide any services that would compromise the services provided to the client at any time during ongoing Internet marketing services. The exclusivity relates to the client's list of 5 main, regional competitors or to the area agreed in the contract.
3. Regional Exclusivity: Regions such as East Midlands, North East (etc) can be included in an exclusivity agreement at an agreed premium but is only offered as an option in contracts exceeding £1,000 per month.
4. National Exclusivity: National exclusivity is optional at an agreed premium on contracts exceeding £2,000 per month unless otherwise agreed and/or included.

1. Unless paying invoices in advance (one off projects), you will be automatically invoiced 7 days prior to the due date each month.
2. You agree to pay all relevant tax associated with invoices at the current rate at that time where applicable).
3. You agree to make the payments by electronic transfer on or before the due date each month for the full duration of the agreed term unless agreed otherwise in writing.
4. You agree to give Koss UK 60 days notice, in writing, of any cancellation of any part of this agreement or 30 days notice if within the last 60 days of the agreed term.
5. You agree to pay 10% of the outstanding value of the agreement, in addition to 60 days notice, if the agreement is terminated with more than 3 months remaining.
6. The development costs associated with this agreement must be fully paid before any cancellation request can be completed.
7. The costs of any project will not exceed the agreed budget unless any additional work or equipment is requested in addition to the content of the quotation &/or agreement.
8. All technical developments or designs completed on request beyond that which is outlined in the project specification will be charged at the current hourly rate.
9. All work (designs, database programming, web programming) and equipment remain the property of Koss UK until paid for in full.

1. Copyright of material designed by Koss UK (all hidden elements, scripting, database connectivity programming, code, custom images, animations, etc) remain the property of Koss UK and shall not be copied or reproduced elsewhere without written consent.
2. Images and text content supplied by yourselves remains your copyright at all times, even if slight modifications are applied by Koss UK.
3. Images and text used in blogs, profiles, websites, social networks and other platforms that were initially provided by you remain your property at all times.
4. Material and profile content used on public platforms that was not initially supplied by you remains the property of Koss UK, forms part of the agreement/contract and will be terminated or reused for other purposes at the termination of this agreement/contract.
5. Usernames / passwords and details of accounts created by Koss UK for your exclusive use at paid and/or free bookmarking, social networking and media sharing platforms remain the property of Koss UK, form part of the agreement/contract and will be terminated or reused for other purposes at the termination of this agreement/contract.
6. All hardware and software installed (ie: dedicated computer for monitoring etc.,) remains the property of Koss UK, forms part of the agreement/contract and will be reused for other purposes at the termination of this agreement/contract.
7. All proprietary technology originally developed by Koss UK, no matter how utilised within the client project, remain the property of Koss UK at all times.
8. All domains and sub-domains that were configured for the project shall be reused for future contracts / clients at the termination of any agreement and/or project.

1. While Koss UK may refer to internet marketing strategy examples in sales, promotional materials, training and consultancy, at no time shall Koss UK use your company name or disclose any details of your internet marketing activities at any time during or after this agreement term.
2. You agree not to disclose any part of the internet marketing strategies and/or methods used by Koss UK during or after fulfilment of the term of this agreement.
